1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you and GoStager ("Company," "we," "us," or "our") governing your access to and use of our virtual staging software as a service platform, including any content, functionality, and services offered on or through our website (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. All changes are effective immediately when posted and apply to all access to and use of the Service thereafter. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

3. ELIGIBILITY

To use our Service, you must be at least 18 years old and capable of forming a binding contract with the Company. By using our Service, you represent and warrant that you meet these requirements.

4. USER ACCOUNTS

4.1 Account Creation

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

4.2 Account Security

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4.3 Account Termination

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

5. SUBSCRIPTION AND BILLING

5.1 Subscription Plans

We offer various subscription plans for our Service. By selecting a subscription plan, you agree to pay all fees associated with the plan you select.

5.2 Payment

All payments are processed through third-party payment processors. By providing payment information, you represent and warrant that you have the legal right to use any payment method(s) you provide.

5.3 Automatic Renewal

Unless you notify us otherwise, your subscription will automatically renew at the end of each subscription period at the then-current rate. You may cancel your subscription at any time by following the cancellation procedures outlined in our Service.

5.4 Refunds

All purchases are final and non-refundable. Once payment is processed for any subscription plan, no refunds will be issued, including for partial use, early cancellation, or unused portions of service.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Our Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes.

6.3 Restrictions

You may not:

• Modify copies of any materials from the Service

• Use any illustrations, photographs, or graphics separately from the accompanying text

• Delete or alter any copyright, trademark, or other proprietary rights notices

• Access or use the Service for any commercial purpose beyond its intended functionality

• Reverse engineer, decompile, or disassemble any portion of the Service

• Copy, modify, create derivative works, distribute, publicly display or perform the Service without our prior written consent

6.4 User Content and Commercial Rights

You retain any and all rights to any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and promoting the Service.

For virtually staged images created using our Service, you receive full commercial rights to use these images for marketing, advertising, listing, and other business purposes related to real estate and property promotion. You may use these images without additional licensing fees or attribution requirements to GoStager..

7. PROHIBITED USES

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation

• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation

• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity

• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm the Company or users of the Service

• To upload or transmit viruses, malware, or other malicious code

8. USER CONTENT STANDARDS

Any User Content must comply with all applicable laws and must not:

• Infringe any patent, trademark, trade secret, copyright, or other intellectual property rights

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable

• Promote sexually explicit or pornographic material, violence, or discrimination

• Invade another's privacy or personal rights

• Be likely to deceive or mislead any person

• Promote illegal activity or advocate, promote, or assist any unlawful act

• Impersonate any person, or misrepresent your identity or affiliation with any person or organization

• Give the impression that they emanate from or are endorsed by us if this is not the case

9. MONITORING AND ENFORCEMENT

We have the right to:

• Remove or refuse to post any User Content for any or no reason

• Take any action with respect to any User Content that we deem necessary or appropriate

• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights

• Terminate or suspend your access to all or part of the Service for any or no reason

• Without limiting the foregoing, we have the right to cooperate with any law enforcement authorities or court order

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. LIMITATION OF LIABILITY

IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

13. GOVERNING LAW AND JURISDICTION

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in San Francisco County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. ARBITRATION

At the Company's sole discretion, it may require you to submit any disputes arising under these Terms, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying California law.

15. WAIVER AND SEVERABILITY

No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16. ENTIRE AGREEMENT

These Terms constitute the sole and entire agreement between you and GoStager regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
